Terms of service
These terms govern your use of AuditRx, a service operated by [CONFIRM: legal entity name] (“AuditRx”, “we”, “us”). By creating an account or using the service, you agree to them. If you use AuditRx for an organization, you confirm that you can accept these terms on its behalf.
The service
AuditRx lets you upload a clinical trial protocol and receive a report that compares its design with failure modes seen in historical trials, with suggested corrective actions. We may change, add or remove features, and some features shown in the product may be marked as coming soon.
Decision support only
AuditRx reports are decision support for qualified reviewers. They are not medical, legal, regulatory or statistical advice, and they do not predict whether a trial will succeed or be approved. You are responsible for reviewing the findings and for every decision you make about your protocol.
Reports are generated with the help of AI and reference data from public registries such as ClinicalTrials.gov. They can be incomplete or wrong. Verify anything important before relying on it.
Your account
- Provide accurate information, and keep your password confidential. New passwords must be at least 12 characters.
- You are responsible for activity under your account. Tell us promptly at support@ctiauditrx.com if you suspect unauthorized use.
- For your security, sessions end automatically after 15 minutes of inactivity.
Your content
You keep all rights to the protocols you upload and to the reports generated for you. You give us a limited license to store and process that content only to provide the service to you, as described in our privacy policy. You confirm that you have the right to upload each document.
Do not upload identifiable patient information or other personal data that the audit does not need.
Acceptable use
You agree not to:
- break the law, or upload content you have no right to share;
- attempt to access other users’ data or probe, disrupt or bypass the security of the service;
- reverse engineer the service, or scrape it or its outputs at scale to build a competing product;
- use automated means to overload the service, or resell access without our written permission.
We may suspend or remove access for violations.
Free audits and fees
New accounts may receive a free audit. [CONFIRM: number of free audits, any usage limits, and whether paid plans exist. If you add fees later, describe pricing and billing here.] We may limit or change free offers at any time.
Our property
AuditRx, its software, design, failure-mode framework and underlying data compilation belong to us and our licensors. These terms give you the right to use the service, not to own any part of it. Report content generated for you may be used for your internal purposes, including sharing with your team and advisers.
Availability and support
We aim to keep AuditRx available but do not promise uninterrupted or error-free service. Contact support@ctiauditrx.com for help.
Disclaimers
To the extent the law allows, AuditRx is provided “as is” and “as available,” without warranties of any kind, including accuracy, fitness for a particular purpose, and non-infringement.
Limit of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or trial outcomes. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100. [CONFIRM with counsel: limits vary by jurisdiction.]
Ending your use
You can stop using AuditRx at any time and ask us to delete your account and data, as described in our privacy policy. We may suspend or end your access if you breach these terms or if we discontinue the service. Sections that by their nature should survive, including disclaimers and limits of liability, will survive.
Changes to these terms
We may update these terms. If a change is material, we will update the date above and notify you where appropriate. Continued use after a change means you accept it.
Governing law
These terms are governed by the laws of [CONFIRM: state or province and country], without regard to conflict-of-law rules. Disputes will be handled in the courts of [CONFIRM: venue], unless the law of your location requires otherwise.
